These Terms and Conditions (“Terms”) govern your access to and use of CLOUDflex Broadcast (“CFB”, “we”, “our”, “us”) services, including but not limited to cloud production environments, software tools, and related support (collectively, the “Services”).
By using or subscribing to our Services, you agree to be bound by these Terms.
1. Service Overview
CLOUDflex Broadcast provides cloud-based live production tools and infrastructure to professional broadcast and livestreaming users. Our Services may be self-hosted, managed by CFB, or operated within a third-party cloud environment such as Amazon Web Services (AWS) or other cloud providers.
2. Third-Party Dependencies
CFB operates some Services using third-party infrastructure, including AWS and other providers.
We are not responsible or liable for any downtime, unavailability, performance degradation, or data loss caused by issues originating from such third-party services.
If AWS or another third-party provider experiences an outage, CFB cannot be held accountable for any resulting service interruptions or losses.
3. Service Usage and Capacity
Each CFB instance, studio, or environment has defined performance and capacity limits. Users are responsible for operating within those limits.
CFB shall not be liable for any service degradation, instability, or data loss caused by exceeding recommended usage parameters or deploying workloads beyond the supported capacity of the instance or configuration.
4. Payments and Invoicing
- All invoices issued by CFB are due within five (5) days of the invoice date unless otherwise stated in writing.
- Payments must be made in full and on time.
- Late or outstanding payments may result in suspension or termination of access to Services.
5. Refund Policy
- There are no refunds for Services already rendered, including partially used billing periods or completed production time.
- Prepaid amounts for ongoing or future services may only be credited at CFB’s sole discretion.
6. Cancellation Policy
You may cancel your subscription or service at any time by providing written notice. Cancellations take effect at the end of the current billing month, and no partial-month refunds or credits will be issued.
7. Support and Service Level
CFB provides support on an “as-is” basis. While we strive to deliver responsive and knowledgeable assistance, no formal Service Level Agreement (SLA) is provided unless otherwise agreed in writing.
8. Limitation of Liability
To the fullest extent permitted by law:
- CFB shall not be liable for any indirect, incidental, or consequential damages, including loss of data, revenue, or production time.
- Our total liability for any claim related to these Services shall not exceed the amount paid by you for the affected service period.
9. Modifications to Terms
CFB may update or modify these Terms from time to time. The most current version will always be available on our website. Continued use of the Services after such updates constitutes acceptance of the revised Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction/Country], without regard to its conflict of law principles.
